Those files are authoritative and recent (2026-05-08–09 mining); this file cites them and appends only what's changed since they were written or what they flagged as unread. - Read Teams chat-files dumps. The Synology NAS isn't mounted on this container right now (no /mnt/nas-cloud/Microsoft Teams Chat Files/ path resolvable). The Teams-chat content is enumerated from chat metadata only; substantive chat-file mining is queued in "What I didn't get to" below. - Pull verbatim email text. All quotations are paraphrased.


1. Cindy Canto consignation matter

Authoritative file: legal/cindy-consignation-timeline.md. Up to date through 2026-05-09. Nothing material to append.

Status as of 2026-05-09

The 2026-05-09 Diego Alcantara message ([CM msg …AAP5ikM-AAA=, [email protected], RE: Follow-up on payment consignation matter (Cindy shareholder action)]) is captured in the timeline file. The Yucatán Court formally published acknowledgment of the failed first-attempt service on 2026-05-08, exactly as Diego predicted in his 2026-05-07 update. Diego re-sent the address-corrected motion the same day, asking Alex to print + sign 3 originals so René can file in Yucatán.

The active commitment is Alex's: print + sign 3 originals → hand-off to René → René files in Yucatán. After that, the timeline file's "Projected timeline" governs (next: 2-3 weeks for Yucatán court response, ~mid-to-late May 2026).

Austin's 2025 cycle kickoff message sent 2026-05-09 01:21Z to Robert Cook, Daisy Buck, Shusaku Endo, Kyomi Endo, Alex Snider, Tony Kim, Nick Rosado [RFH msg …AANbTCYlAAA=, "2025 return prep — questions for several people"]. The body is a placeholder ("I'm working on building proper ledgers for the family office ahead of 2025 filing, and had some questions for you") with no questions appended. No reply yet from anyone as of dive time.

  • The most time-sensitive open item from Pearce-thread mining is #20: Form 8832 election for the GK by Apr 9, 2025 — possibly already missed; needs Pearce/Kim Rosado confirmation immediately.

Authoritative file: accounting/jme-deliverable-status.md (drafted 2026-05-08). Up to date. No new JME traffic in either mailbox since 2026-03-25 ([email protected]).

The todo/jme-questions-2026-04-29.md drafted-but-unsent questions email has not been sent. JME's last visible message was 2026-03-25 in the "Return of RHG Shares" thread (CC'd, not addressed; a procedural copy from Portilla coordination, not a JME-initiated touch).

The 2026-05-08 second packet (3-year signed FS bundle) has been fully processed in source-data/jme/2026-05-08/ and folded into both the JME deliverable-status file and the questions file.

No prior dedicated narrative file. Recent traffic (Apr–May 2026) previously partially captured in accounting/five-points-1006-sba-narrative.md and the SBA file. Material new findings below.

Two parallel workstreams active under the Edgewood relationship:

  1. Property insurance renewal — closed 2026-05-02. Chosen carrier: Berkshire / National Fire & Marine, $7,574.76, $50K Wind/Hail deductible. Prior carrier was Covington Specialty Ins Co at $14,818.85. Gotham Ins Co quoted $13,778.33 as alternative. The vacant-unit policy will drop materially once the 1006 building has a tenant.   • "Larry and Rick" — tenant principals, last names not given. Operate event-venue / restaurant concept; prior venues: 840 ATL (Atlanta GA), Traxx (St. Louis + Dallas), Club 2020 (Houston). Concept = daily restaurant lunch + dinner, Mon-Fri happy hour 4-8pm, brunch Sat/Sun, mix of comedy / talent / theme nights, 60-90 day buildout including stage + dressing rooms + lighting + sound. Two open Conley Rose matters:

  1. Patent OA on CR Ref 4447-00106 — Title: "System and Method for Integrating Business Operations." Serial No. 18/407,110. Filing date Jan 8, 2024. Inventor: Gavon Augustus RENFROE. Applicant: Renfroe Innovation. Conley Rose lead: Michael W. Piper ([email protected], 972-731-2284, Plano TX office).
  2. Office Action received from USPTO with 35 U.S.C. §101 (subject matter eligibility) rejection only — no prior-art / cited-references rejections. Mailing date in February 2026 (precise date in the attached OA, not extracted).
  3. Response deadline: April 27, 2026 + extensions available ($94 small entity 1-month extension).
  4. Conley Rose has drafted: amended independent claims (bringing in inventory data store, threshold comparison against aggregated use quantity, automated electronic PO submission); new dependent claims as fallback positions.
  5. Strategy: interview Examiner before filing formal response. Examiner has not responded to interview request as of 2026-04-26.

Cost for the IR + 4-class MX extension: $1,181 base + $653 basic IR fee (per Piper email 2026-03-20). Mexico is single-class country; each class is a separate filing.

    • Whether mark is in use in U.S. or only in MX (5+ year horizon triggers different posture).

  • Austin's prior-art portfolio includes 3 issued patents (10445672, 10445819, 11900288) — these are not catalogued in context/entities.md Renfroe Innovation row as far as I can tell. Update needed.
  • Renfroe Innovation is the applicant on patent 18/407,110 — confirms RI is the IP-holding entity (consistent with context/renfroe-innovation-scope.md).
  • The trademark applicant identity question is unresolved — Conley Rose is asking RFH LLC vs RHG SA vs RHG SR. With the Cindy consignation closing toward SA→SR conversion, the right answer is probably RHG SR de CV (post-conversion form). But Austin hasn't responded.
  • Casa Moksha trademark classes 039, 041, 043, 044 is broader than just "hotel" — it includes nightclub services, transportation services for guided tours, spa services, restaurant services. This matters for the brand strategy and for cost-segregation analyses (the 044 wellness-spa class supports the "real estate trade or business" framing for PFIC analysis on the GK and on RHG).

8. Tokyo Star Bank / GK / Mita ops

Adjacent files: accounting/mita-deep-dive.md, accounting/mita-purchase-price-reconciliation.md, legal/withers-london-portfolio.md Matter 3.

Status as of 2026-05-09

Two material developments:

  1. GK corporate restructuring underway — A scheme is in motion to transfer the Mita 1009 ownership from the existing Renfroe Holdings GK to a newly-formed GK (also "Renfroe Holdings GK" per the new formation paperwork). The new GK's 社員 (member) is to be a US LLC (presumably RFH LLC or a sub).
  2. Lead: Tohyama Office (司法書士法人遠山事務所), judicial scrivener firm. Principal: Takeshima Tohru ([email protected], 03-3815-0872). Other Tohyama staff in the chain: 道端 達也 (Michibata Tatsuya, [email protected]), [email protected].
  3. Tax review: Shusaku Endo (ABS Partners) confirmed 2026-04-30 that the proposed scheme is fine on the JP tax side, but the transfer price of the membership interest will be marked-to-market at fair value on the transfer date, with the spread between contributed capital and FMV recognized as gain. Endo flagged that US capital gains exposure on the transferring US LLC should be verified with the US tax advisor (Pearce / Kim Rosado).
  4. Tohyama (Takeshima) has asked Austin to fill in attached forms with the new Renfroe Holdings GK details, plus to provide US-LLC existence certificates (e.g., Texas SOS Certificate of Formation / Existence) and an affidavit similar to the prior one used.

  6. TSB cash-card reissuance — The Tokyo Star Bank cash card for the GK account is being reissued. Yuriko Saho mailed the reissuance documents to TSB by ordinary mail mid-April 2026 (no tracking #). As of 2026-04-23, TSB (Yamamoto Claire, [email protected]) hadn't yet received the docs and asked for the tracking number; Yuriko clarified ordinary-mail-without-tracking and asked for a few more days. New facts surfaced

  • Takeshima Tohru / Tohyama Office is now confirmed as the judicial-scrivener firm for GK corporate restructuring, not just Mita-side legal admin. context/people-graph.md flagged Takeshima with "OPEN: scope" — scope now resolved.
  • A new Renfroe Holdings GK is being formed, distinct from the existing GK. The current GK (the Mita 1009 owner, formed Jan 24, 2025) is therefore not the long-run holding entity for Mita; the new GK will be. This has not been catalogued in context/entities.md yet.
  • The membership-interest transfer between the two GKs creates a US capital-gain event (per Endo's tax review) — this needs to be on the 2025 or 2026 tax-prep agenda. Not currently in tax/2025-filing-prep.md.
  • The 8832 election for the existing GK (item #20 in tax/2025-filing-prep.md) interacts with this — if the existing GK is disregarded for U.S. tax, the new GK will need its own 8832 election within 75 days of formation. Add to tax-prep agenda.

  • context/entities.md and context/master-timeline.md only know about one Renfroe Holdings GK. The forthcoming 2-GK structure (existing + new) needs to be added.
