High priority¶

Renfroe Hospitality Group, S.A. de C.V. Acta Constitutiva — the Mexican corporate-formation document. The repo's claimed 2023-02-02 incorporation date is sourced from the RFC encoding alone. Not in Synology (
source-data/synology-documents-index/README.md:240). Likely held by Portilla or JME. Why it matters: the Acta is the gold-standard primary source for the formation date, charter purpose, original cap table (Austin 99% + Cindy Canto 1% perentities.md:75), capital fijo amount, and the bylaw clauses driving the consignación process. All Mexican-side tax / governance work hangs off it. -
April 8, 2025 GK-as-buyer Mita sales contract. Per the April 4 Ownership Change Agreement, GK and Mitsui concluded a NEW sales contract on April 8, 2025 replacing Austin's April 25, 2023 contract. The April 4 dissolution agreement IS in Synology; the new April 8 contract is NOT. (
accounting/mita-purchase-price-reconciliation.md§ Open items #7;todo/for-austin.md:14.) Why it matters: GK's basis in Mita is anchored in this contract; without it the basis allocation has to fall back on derived numbers from the dissolution agreement and wire confirmations. -

Q1 — Did the GK get an 8832 election filed within 75 days of formation?¶
Why it matters: If yes, GK is disregarded for US tax → Form 8858 filings + simpler treatment. If no, GK is C-corp by default → Form 5471 + potential GILTI/Subpart F + PFIC analysis on rental income. The difference in advisor cost + tax outcome is six figures over the asset life. Pearce-Bevill-thread-summary.md already lists this as the top open Q.
Who could answer: Pearce Bevill (Robert Cook / Daisy Buck) and/or Kim & Rosado (Tony Kim / Nick Rosado).
What evidence to look for: the IRS Form 8832 acceptance letter, or a Pearce email from Mar–Apr 2025 confirming the election filing. If missed, evaluate retroactive election with reasonable cause now.
Q2 — Same question for RHG: 8832 status post S. de R.L. de C.V. conversion completion¶
Why it matters: Mexican S.A. de C.V. is a per se corporation (8832 not available), but post-conversion S. de R.L. de C.V. CAN elect 8832 within 75 days of conversion. Why it matters: ~$2.3M in AFR loan funding between Austin's parents and Austin (then on to Five Points BHM). Without a §7872-compliant note, the entire structure is recharacterizable. Unresolved 8+ months. Same posture applies to the parallel $350K Mita-related parents → Austin note. Two notes, ~$2.65M of intrafamily debt, both potentially uncovered.
Who could answer: Stuart Memory (Memory Memory & Causby).
What evidence to look for: the executed promissory note PDF (plus amortization schedule, AFR rate citation, 1099-INT history).
Q5 — Five Points BHM Holdings, LLC — state of formation + AL forfeiture cure status¶
Why it matters: the entity owns a $5M+ commercial building. The 2024-12-23 recorded Assignment of Mortgage uses Texas address (210 Lavaca #3101). Pearce thread says TX LLC. Decisions log + AL SoS notice of forfeiture say AL-side filing. Likely scenario: TX-formed, AL-foreign-qualified, AL-side forfeiture for missing AL annual qualification report. But unconfirmed, and operating with in-doubt right-to-transact is real liability exposure.
Who could answer: Skinner Legal (Walter Scott Law's matter source) and/or Pearce Bevill.
What evidence to look for: TX SOS Certificate of Filing + AL SoS foreign-qualification record + the actual AL Notice of Forfeiture text.
Q6 — Acta Constitutiva for RHG SA de CV — where is it?¶
Why it matters: the Mexican corporate-formation document. All Mexican-side tax / governance work hangs off it. Currently we have only the RFC encoding (RHG230202Q53) confirming the 2023-02-02 incorporation date. The original cap table, capital fijo amount, charter purpose, bylaw text driving the consignación process — all are in the Acta.
Who could answer: Portilla (likely original-counsel custodian), JME (would have a copy for tax), or the Mexican notary who executed it.
What evidence to look for: the notarized PDF.
Q7 — Hunter's pronoun + relationship to Austin¶
Why it matters: the 2014 Renfroe Innovation share assignment, the SBA Loan 7803 personal guarantee chain, and several legal-doc references all use "Hunter H. Renfroe." Within the repo, Hunter is variously "Austin's brother" (entities.md:26; people.md:26) and "his sister" (entities.md:296). Identity / pronouns matter for SBA collection correspondence, foreclosure recording, and any future loan workout papers.
Who could answer: Austin (one-line confirmation).
Q8 — Naoko Kinoshita / Withers HK — what's the Hong Kong involvement?¶
Why it matters: repo describes Withers as London + Japan only. Recent invoices show a HK billing handle (W-HK.FID701902). Either the HK office is just billing-side admin for the Japan/London matters, or there's a third Withers jurisdiction not currently flagged.
Who could answer: Austin or Withers directly.
Q9 — JME Feb 2026 financials — is JME still the right firm for the 2026 books?¶
Why it matters: ~46 days past the "later this week or early next week" promise (made 2026-03-25). JME's CONTPAQ-i books are the substrate for everything Mexican-tax. Continued slip threatens the whole 5471 / S. de R.L. de C.V. conversion / intercompany agreement sequence.

Why it matters: the "Special Changes payment-obligation agreement"
is part of the Mita closing-documents chain. Either it's truly missing
(in which case GK's basis-tracking has a documentation gap on the
addendum side) or it's there under a Shift-JIS-mangled filename and
just needs the name clarified in entities.md.

Appendix — Verification methodology + scope notes¶
